Your work stays yours.

You license the app, keep ownership of your content, and choose how it is processed. If your trial or subscription ends, your existing work stays accessible in Library mode.

Who these terms cover

Kimiko is a product owned and operated by Inovia AI Solutions LTD, a company incorporated in the Republic of Cyprus (“Inovia”, “we”, “us”). These terms cover our website, documentation, website accounts, and subscription services. By using these services, you agree to these terms. If you use them for an organization, you must have authority to act for it.

The desktop application is also subject to the End User License Agreement (EULA) you accept in the app, available in Settings → About → License agreement. The software provisions below are adapted from that agreement. If they conflict, the accepted EULA governs your desktop software license; the terms shown at purchase govern your transaction, subject to mandatory consumer rights.

Our Privacy policy explains how we handle information, and our Cookie policy explains website storage. Website demonstrations use fictional content and prepared outputs; they do not record your microphone or process your meetings.

Your license

Subject to the EULA, Inovia grants you a personal, non-exclusive, non-transferable, non-sublicensable, revocable license to install and use Kimiko on devices you own or control, for personal use or your own internal business purposes. The software is licensed, not sold.

A standard license can be activated on up to three devices at a time. You can deactivate a device to free a slot. Keep your license key confidential and do not publish or share it beyond your permitted devices.

Except where the EULA, a component’s license, or mandatory law permits it, you must not redistribute, rent, sell, sublicense, modify, or create derivative works of the software; remove proprietary notices; reverse engineer, decompile, or disassemble it; or bypass licensing and technical restrictions. Reasonable backup copies are permitted.

Inovia and its licensors retain their rights in Kimiko and its branding. Third-party software and model licenses continue to apply to their respective components. Their terms take precedence for those components where they conflict with the EULA. Notices are available in Settings → About → Open-source acknowledgements.

Recording & responsible use

You are responsible for making sure that recording, transcription, retention, and sharing comply with applicable laws, workplace policies, and meeting-platform terms, including obtaining any required participant consent. Kimiko’s reminders are a convenience and do not establish consent or provide legal advice.

Do not use Kimiko or the website unlawfully, infringe other people’s rights, access another person’s account without authorization, distribute malicious content, or interfere with the security or operation of the service. You must comply with applicable export-control and sanctions laws.

Your content & AI output

You retain your rights in the audio, transcripts, notes, summaries, tasks, and exports you create. You are responsible for the rights and permissions needed to process this content, and for protecting your device and keeping backups. Choosing a cloud provider or sharing an export sends information outside your local library.

Transcripts, speaker labels, summaries, extracted tasks, and chat answers may be inaccurate, incomplete, misattributed, or misleading. Review AI output before relying on it or sharing it. It is not professional, legal, medical, or financial advice.

If you send suggestions or feedback, you grant Inovia a perpetual, irrevocable, worldwide, royalty-free license to use those suggestions without an obligation to compensate you. This does not transfer ownership of your meeting library or override our Privacy policy.

Trial & Library mode

The desktop trial starts with your first successful recording and lasts 14 days or five recorded meetings, whichever ends later. No payment details or website account are required for the trial. Changes to future trial offers do not shorten a trial already in progress.

After the trial, new recordings, dictation, audio imports, and re-transcription of retained audio require an active subscription or another valid license.

If your trial or paid access ends, the app enters Library mode. You can still read, search, export, delete, and edit existing meetings, notes, and tasks, and chat over existing transcripts using local or your own configured providers. Your content’s encryption does not depend on license status.

The app can periodically verify paid licenses with the licensing service. Cached entitlement supports offline use through the paid period and a grace window; it is not an unlimited offline license. Local-only mode blocks remote verification. Turn it off to activate a new purchase.

Subscriptions & cancellation

Stripe, through Managed Payments / “Sold through Link”, acts as merchant of record. The billing period, price, currency, and applicable taxes are shown before payment. Stripe processes payment details; Inovia does not receive or store your full card details.

Monthly and annual subscriptions renew automatically until cancelled. Your payment method is charged at each renewal at the applicable price. We provide reasonable advance notice of price increases, which take effect no earlier than your next renewal.

Cancel through the billing portal linked from your Kimiko account, the purchase-management link supplied by the merchant, or by contacting us. Cancellation takes effect at the end of your paid period, and recording features remain available until then. The app then enters Library mode. Partial periods are not refunded except where required by law or expressly offered.

Your license key is emailed to the purchase email address and is always available in your Kimiko account. Third-party cloud speech and AI charges are separate and payable under your own provider agreements.

Withdrawal & refunds

Under the original subscription agreement, consumers in the EU/EEA, or another jurisdiction with a statutory withdrawal right, may withdraw within 14 days of purchase without giving a reason. If you expressly request immediate performance and then withdraw after it begins, a proportionate amount for the service already provided may be retained only where the law permits.

Any loss of a withdrawal right for digital content depends on the legally required consent, acknowledgement, and purchase circumstances. Merely visiting this website does not waive your rights. The subscription withdrawal provision takes precedence over any different download acknowledgement in the desktop EULA.

Contact kimiko@inoviatech.io or support for withdrawal or refund requests; we coordinate with the merchant of record. Include your purchase email and receipt reference, but no payment card details or license key. Statutory refund rights remain unaffected.

A refund, dispute, or chargeback may suspend the associated license and put the app into Library mode. It does not remove your locally stored content.

Website accounts

A website account may be required to purchase a subscription or manage licenses, billing, devices, and support. This is separate from the account-free desktop trial. Use accurate information, protect your email and sign-in codes, and tell us promptly about suspected unauthorized access.

Website sign-out does not deactivate a desktop license. Removing a device may not immediately stop a copy that is using cached offline entitlement. Contact support if your key has been exposed, or if you need account recovery, an email change, or deletion.

Third-party services

Cloud speech, AI, calendars, and other services you connect using your own accounts or API keys are governed by your agreements with their providers. You choose what to send, are responsible for provider charges and applicable model licenses, and should review the provider’s data practices.

Inovia does not control third-party service availability, output, or data handling. Local model downloads and software components can have their own license conditions. Naming a provider or showing its logo does not imply endorsement.

Updates & termination

Kimiko may check for, download, and install updates when enabled. We may modify or discontinue features, models, or integrations, subject to applicable law and your paid-service rights. Updated software remains subject to the EULA unless revised terms accompany it.

We may restrict website access for material misuse or a security threat. A material breach can terminate your desktop license under the EULA, requiring you to stop using and delete the software. This is different from ordinary subscription expiry, for which Library mode remains available. Termination does not transfer your content to us or remove rights that survive by law.

We will publish changes to these website terms here and update the date. Material changes will be communicated as appropriate; where consent or acceptance is required, we will request it. Changes do not retrospectively remove accrued consumer rights.

Warranties & liability

To the maximum extent permitted by law, Kimiko and the website are provided “as is” and “as available”. We do not promise uninterrupted or error-free operation, accurate AI output, or that every recording will be captured or preserved. Implied warranties are excluded only to the extent the law allows.

To the maximum extent permitted by law, Inovia is not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or loss of profits, revenue, goodwill, data, or business arising from use of the service. Under the desktop EULA, total aggregate liability is limited to the amount you paid for the software in the 12 months before the event giving rise to liability, or EUR 50 if you paid nothing.

These exclusions do not limit liability for fraud, fraudulent misrepresentation, wilful misconduct, gross negligence, death or personal injury caused by negligence, or any other liability that cannot legally be excluded or limited.

To the extent permitted by law, the EULA requires you to indemnify Inovia for claims, liabilities, and reasonable costs arising from unlawful recording or processing, your content, or your breach or misuse of the software. This does not apply to consumers where mandatory consumer law makes that obligation unenforceable.

Consumer rights & governing law

Nothing in these terms limits non-waivable consumer rights or remedies. The laws of the Republic of Cyprus govern these terms, excluding conflict-of-law rules, and its courts have jurisdiction, subject to any mandatory governing-law and forum protections available in your country of residence.

If a provision is unenforceable, the remaining provisions continue to apply. Not enforcing a provision is not a waiver. You may not assign your agreement without Inovia’s consent; Inovia may assign it in connection with a merger, acquisition, or sale of assets, subject to applicable law.
